William S. Hein & Co., Inc.
                      September 1, 1996
Kevin M. Marmion is named President
_________________________________________________________________

Kevin M. Marmion, Vice President of Operations of William S. Hein
& Co., Inc. has been named President by William S. Hein, Jr.

Mr. Hein, who served as President since 1976, will become
Chairman of the Board and will continue an active role in the
company, concentrating on international markets, and as a
consultant to the new President.

In announcing of these changes, Mr. Hein remarked that during Mr.
Marmion's more than twenty-six years with the company, he has
literally worked his way from the bottom of the organization to
the top. Mr. Marmion began as a stock clerk in 1970 while
attending the former Bishop Fallon High School, Buffalo, New
York, and continued on a part-time basis while attending Canisius
College, also in Buffalo. After his graduation from Canisius in
1975, Mr. Marmion became a full-time member of the Periodicals
Department.

As Vice President of Operations for the past ten years, Mr.
Marmion has had ultimate responsibility for the production
divisions of the Hein Company (printing, microfilming and
binding), and ultimate responsibility for the service departments
(subscriptions, continuations, accounting, and periodicals) and
warehousing operation. In addition, Mr. Marmion oversees the
operation of Metro Self-Storage Company, a subsidiary of the Hein
Company, the largest indoor self-storage company in Western New
York.

William S. Hein & Co., Inc. began operations in 1960 from the
home of William and Ilene Hein. William S. Hein, Sr. passed away
in 1976 while Mrs. Hein remains an asset to the organization,
volunteering her services and expertise in both operational and
editorial areas. In 1983, William S. Hein & Co., Inc., purchased
the Fred O. Dennis Company, which was one of the oldest law book
publishers in the country. The company currently owns six
buildings, totalling more than a half-million square feet of
warehouse space, in downtown Buffalo. The company is the world's
largest distributor of legal periodicals, a major microform
publisher, and one of the leading legal periodical subscription
agents in the United States. In addition, the company is a
publisher and reprinter of law and related materials; a major
source of out-of-print government documents; one of the world's
largest book dealers in the legal field; and more recently, a CD-
ROM publisher.

Bonnie L. Morton and Susan H. McClinton, family members, will
remain Secretary and Treasurer of the corporation, respectively.
Daniel P. Rosati will continue as Vice President of Research and
Development and Richard J. Spinelli, who is based in Chicago,
will continue as Vice President of Sales.
