Lynda Sayer requested any info on a Woolworth - Wal-Mart arbitration. I
could not find any information on an arbitration but there is a decision
from the Director of Investigation and Research under the Competition Act.
The summary in the 1993-1994 annual report states:
"On January 18, 1994, the Director received an application for an advance
ruling certificate under section 102 of the Act in respect of the proposed
acquisition by a wholly-owned subsidiary of Wal-Mart Stores, Inc.
("Wal-Mart") of over 100 Woolco department stores across Canada from
Woolworth Canada Inc.
Woolworth Canada Inc.'s other operations in Canada consisting of specialty
retailers of footwear, women's casual clothing and drugstores were not part
of the transaction. The advance ruling certificate was issued on January
28, 1994.
Wal-Mart is the largest retail enterprise in the United States and, prior to
the Woolco transaction, did not have any operations in Canada. The Director
concluded that the proposed acquisition would not increase the already low
degree of industry concentration in the sale of department store merchandise
in Canada. Moreover, Wal-Mart's reputation for competing aggressively on
price, service and innovation in technology, distribution and inventory
management as well as product development indicated that the proposed
transaction would likely increase competition.
The transaction closed on March 17, 1994."
