Looking for legal treatises or "how-to" articles on SEC requirements for executing
reverse merger public shell transactions--
where a private company merges with an already registered publicly traded company---
to avoid the delays in the SEC registration process.
Tried westlaw.com in database JLR (journals & law reviews) with meager results.
Have found several commercial investment web-sites with general info.
Have pulled sample 8-K, S-4, 10-K & litigation releases off www.sec.gov
But still would like to find a respectable treatment of the process as a whole.
Thanks for any suggestions.
