Fiduciary duties arise in so many different contexts, it might be necessary
to know the context. A context not covered (at least not entirely) by the
UCC that comes readily to mind is a plain olde trust. Another is principal
and agent. Others are probate, guardianship, and convervatorship. The
question as posed seems more multi-faceted than would be covered by the UCC
alone.
