I am looking for (for lack of a better term) a how-to or practice treatise
or handbook for filing SEC forms 13-d & 13-g. We have several resources,
but none are as much of a step-by-step handbook as the attorney is hoping
for. We already have the BNA Corp. Portfolio Beneficial ownership
reporting, and a small CCH publication Beneficial ownership reporting under
section 13(d). We have also used the West/Clark Boardman Securities law
series volumes.
We would use Securities Law Techniques from Matthew Bender, which the
attorney really likes, but the chapters on beneficial ownership are dated
1989 (that is not a typo -- they are from 1989...) Although I was told
Bender is hoping to find someone to revise the chapters, that doesn't help
me now.
